Cancellation Policy
Rules regarding the termination of ongoing engineering contracts and retainers.
1. Project Cancellations by Client
Clients may request the cancellation of a project at any time. However, upon cancellation, all unpaid accrued engineering hours up to the date of cancellation will be invoiced immediately and are due upon receipt.
2. Retainer Cancellations
For clients on monthly maintenance or engineering retainers, we require a minimum of thirty (30) days' written notice prior to the start of the next billing cycle to cancel the retainer without incurring the subsequent month's charge.
3. Cancellation by CODENVA
We reserve the right to suspend or cancel any project or service agreement immediately if:
- The client breaches any term outlined in the project's Statement of Work (SOW) or Terms and Conditions.
- There is a failure to remit payment for active milestones after a 15-day grace period.
- We determine that the project direction violates our ethical guidelines or poses severe technical liability.
4. Intellectual Property on Cancellation
If a project is canceled prior to full payment, CODENVA retains full rights to all custom code, designs, and architecture developed. Upon settlement of all outstanding invoices, rights will transfer to the client as stipulated in the initial agreement.
